Terms of Service

1. The KYREN Services

KYREN operates an AI infrastructure and developer services platform that provides managed access to multiple AI model APIs and related technical services.

Depending on the service used, KYREN may provide features including:

• unified API access and compatibility;
• provider and model routing;
• model catalog and pricing information;
• failover and availability management;
• usage accounting and cost management;
• interface monitoring and operational diagnostics;
• model metadata and verification tools;
• developer support; and
• enterprise AI integration and consulting services.

Specific functionality, supported models, routes, pricing and availability may change over time.

2. Accounts and API Credentials

You are responsible for maintaining the security of your account, passwords, API keys and other credentials.

You must not disclose credentials to unauthorized persons or permit use of your account outside the organization, applications or users for which access was intended.

You are responsible for activity performed through your account and credentials unless the activity results from a security failure attributable to KYREN.

You must promptly notify KYREN if you reasonably believe that your account or credentials have been compromised.

3. Third-Party Models and Providers

KYREN provides an infrastructure layer through which users may access models and services supplied by third-party providers.

Third-party provider names, model names, trademarks and other marks remain the property of their respective owners. Unless expressly stated otherwise, KYREN is independent of and is not endorsed by or affiliated with those providers.

Model availability, capabilities, pricing, latency, context limits, output characteristics, provider policies and technical interfaces may change without notice to KYREN.

KYREN may add, remove, replace, suspend or reroute a model or provider where reasonably necessary for availability, reliability, security, commercial, compliance or operational reasons.

Where particular models or services are subject to additional usage restrictions imposed by an upstream provider, you are responsible for complying with those restrictions when using the relevant service.

4. Customer Content

"Customer Content" means prompts, instructions, files, data, images, audio, video or other content submitted through the Services, together with outputs generated in response to that content.

You retain your rights in Customer Content.

You grant KYREN the limited rights necessary to process, transmit, route, reproduce and otherwise handle Customer Content for the purpose of providing, securing, operating and supporting the Services.

Where a request uses a third-party model, relevant Customer Content may be transmitted to the applicable provider or infrastructure service as necessary to fulfil the request.

You are responsible for ensuring that you have the rights and permissions necessary to submit Customer Content and use resulting outputs.

KYREN does not guarantee that model-generated outputs will be accurate, complete, unique, lawful, suitable for a particular purpose or free from third-party claims. Users must independently evaluate outputs before relying on them in circumstances where accuracy or legal compliance is material.

5. Usage and Pricing

KYREN services may be charged according to usage, including model input or output tokens, requests, media generation, processing volume, service duration, compute class or other usage metrics applicable to the relevant service.

Current pricing is displayed through KYREN's applicable website, console, pricing interface or commercial quotation.

Unless otherwise stated, usage charges are calculated according to KYREN's metering records.

Prices may change from time to time. Updated pricing applies prospectively unless otherwise agreed.

You are responsible for applicable taxes, duties or similar governmental charges associated with your purchase or use of the Services, except taxes based on KYREN's own income.

6. KYREN Service Credits

Certain Services may be prepaid through KYREN Service Credits.

Service Credits are first-party prepaid service credits that may only be used for eligible services provided through KYREN. Their purchase, use, adjustment and refund are governed by the KYREN Service Credit Terms.

Service Credits are not transferable between users except where expressly permitted by KYREN and cannot otherwise be redeemed or withdrawn for cash.

7. Payments and Billing

You authorize KYREN and its payment service providers to charge the payment method selected by you for purchases and applicable fees.

You must provide accurate billing information and keep it reasonably current.

If a payment is reversed, disputed, cancelled or otherwise not successfully received, KYREN may adjust the corresponding account balance or Service Credits and may suspend affected Services until the outstanding amount is resolved.

If you believe a billing calculation is incorrect, please contact KYREN promptly so that the transaction and usage records can be reviewed.

8. Refunds

Refund eligibility and procedures are governed by the KYREN Refund Policy.

Usage corresponding to Services that have already been delivered or consumed is generally non-refundable, subject to the Refund Policy and applicable law.

9. Acceptable Use

You must use the Services in accordance with applicable law and the KYREN Acceptable Use Policy.

You must not use the Services to engage in unlawful or fraudulent activity, interfere with the integrity or security of KYREN or third-party systems, circumvent technical or billing controls, or otherwise materially abuse the Services.

KYREN may investigate suspected violations and take reasonable measures to protect the Services, users and upstream providers.

10. Service Availability

KYREN aims to provide reliable access but does not guarantee continuous or uninterrupted availability of any particular model, provider, route or feature.

AI infrastructure depends on third-party networks, model providers and computing services that may experience outages, rate limits, capacity constraints, technical changes or other interruptions outside KYREN's reasonable control.

KYREN may conduct maintenance or make operational changes where reasonably necessary.

Where practical, KYREN may use routing, failover or other operational measures to maintain service availability, but these measures do not constitute a guarantee of uninterrupted service.

11. Consulting and Enterprise Services

Where KYREN provides consulting, implementation or other professional services, additional scope, pricing, deliverables and commercial terms may be set out in a separate quotation, statement of work or agreement.

If there is a conflict between these Terms and a separately executed agreement governing a particular professional service, the separately executed agreement will control for that service.

12. KYREN Intellectual Property

KYREN and its licensors retain all rights in the KYREN platform, software, APIs, documentation, designs, trademarks, model records, operational tools and other materials supplied by KYREN, excluding Customer Content and third-party materials.

Subject to these Terms, KYREN grants you a limited, non-exclusive and non-transferable right to access and use the Services for your own business, development or application purposes.

You may not copy, reverse engineer, interfere with, resell or exploit KYREN systems except to the extent expressly permitted by KYREN or applicable law.

13. Feedback

If you voluntarily provide feedback or suggestions regarding the Services, KYREN may use that feedback to improve its products and operations without obligation to you, provided that KYREN does not publicly identify you as the source without permission.

14. Suspension and Termination

You may stop using the Services at any time.

KYREN may restrict, suspend or terminate access where reasonably necessary because of:

• non-payment or reversed payments;
• fraud or suspected fraud;
• security threats;
• material violation of these Terms or the Acceptable Use Policy;
• legal or regulatory requirements;
• material requirements imposed by an applicable upstream provider; or
• activity that creates substantial operational or legal risk to KYREN or other users.

Where circumstances reasonably permit, KYREN may give the user an opportunity to resolve the issue before permanent termination.

Treatment of unused Service Credits following termination is governed by the Refund Policy and Service Credit Terms.

15. Disclaimer

The Services are provided on an "as available" basis.

To the maximum extent permitted by applicable law, KYREN disclaims implied warranties of merchantability, fitness for a particular purpose and non-infringement.

KYREN does not warrant that any AI model will produce a particular result or that outputs will always be accurate, complete or appropriate.

Nothing in these Terms excludes any warranty, right or remedy that cannot lawfully be excluded.

16. Limitation of Liability

To the maximum extent permitted by applicable law, KYREN will not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, business opportunities, goodwill or data arising from or relating to the Services.

Except for liability that cannot lawfully be limited, KYREN's aggregate liability arising from the Services will not exceed the amount paid by you to KYREN for the Services during the three months immediately preceding the event giving rise to the claim.

17. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold KYREN harmless from third-party claims arising from:

• Customer Content submitted by you;
• your unlawful use of the Services;
• your material violation of these Terms; or
• your infringement of third-party rights.

This obligation does not apply to the extent a claim results from KYREN's own breach of these Terms or unlawful conduct.

18. Changes to These Terms

KYREN may update these Terms from time to time to reflect changes in the Services, law, security requirements or business operations.

Material changes will apply prospectively from the effective date of the updated Terms.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.

19. Governing Law

These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law principles.

Subject to any rights that cannot lawfully be waived, the courts of Hong Kong will have jurisdiction over disputes arising from or relating to these Terms.
